Certificates of Incorporation

Bermuda Certificates of Incorporation are issued by the Registrar of Companies. Certified copies can be obtained from the Registrar for authentication with an Apostille Stamp.

A Certificate of Incorporation confirms that the company was duly registered in Bermuda under the Companies Act and confirms the name of the company, the date of incorporation and the Company Registration Number.

Certificates of Good Standing

A Bermuda Certificate of Compliance (Good Standing) can be obtained from the Registrar of Companies and authenticated with an Apostille Stamp.

A Certificate of Good Compliance certifies that a company is duly incorporated under the laws of Bermuda, that the company is in compliance with all applicable administrative requirements, and that the company is in continued legal existence (i.e. the company is not in voluntary liquidation or subject to strike-off proceedings).

To obtain a Certificate of Compliance the company must be in compliance with all filing requirements, and have no outstanding Government fees or penalties.

Entity Extract

An Entity Extract is a report issued by the Registrar of Companies confirming the current status of the Company in Bermuda (active, dissolved etc), but does not confirm that the company is in Good Standing.

The Entity Extract also includes basic details about the company, including:

• Entity name and type (e.g. local company limited by shares)
• Date of registration
• Address of registered office
• Authorised share capital
• Names of Directors

Other Bermuda company documents

Other documents and certificates for Bermuda companies can also be authenticated when issued as certified copies from the Bermuda Registry, Registrar of Companies, including the Memorandum of Association. Other documents, such as shareholder resolutions, director resolutions and powers of attorney, can be notarized and then authenticated with a Bermuda Apostille Stamp. Documents can often be notarized from good quality scans.
